Terms of Service

Effective date: Nov 17, 2026

1. About these Terms

These Terms of Service (“Terms”) form a binding agreement between you and MapDuo. They govern your access to and use of the MapDuo platform, managed services, free audit and WordPress plugin offered at https://mapduo.com.

1.1 Who we are. MapDuo is operated by Quality Référencement, a Monaco limited liability company (société à responsabilité limitée) registered with the Monaco Trade and Industry Register (RCI) under number 13S06174, with its registered office at 2 rue du Gabian, 98000 Monaco (“MapDuo”, “we”, “us” or “our”). You can contact us at contact@mapduo.com.

1.2 Acceptance. You accept these Terms by checking the acceptance box when you create an account or place an order. If you do not agree, do not use the Services. The individual who accepts these Terms represents that they are at least 18 years old and have authority to bind the business they represent. “You” and “Customer” refer to that business.

1.3 Business use only. The Services are offered exclusively to businesses and professionals, for business purposes. They are not intended for consumers or for personal, family or household use. By accepting these Terms, you confirm that you are acting for business purposes.

1.4 Definitions.

2. The Services

2.1 Description. Each Subscription includes, for one Location: (a) access to the Platform; (b) the Managed Services performed by our team on your Business Profile; and (c) the AI Features. The features included in your plan are those described on our website or at checkout when you place your order.

2.2 One Subscription per Location. Each Subscription covers a single Location. You may manage several Locations from one account, but each Location requires its own Subscription.

2.3 Your account. Each account is intended for a single user. You must provide accurate information and keep it up to date, keep your login credentials confidential, and notify us promptly at contact@mapduo.com of any unauthorized use. You are responsible for all activity under your account.

2.4 Changes to the Services. We may update, improve or modify the Services from time to time. We will not materially reduce the core functionality of your Subscription during a Term without notifying you in advance.

2.5 Third-party services. The Services rely on third-party services, including Google services. We do not control them and are not responsible for their availability, changes or policies. MapDuo is not affiliated with, endorsed by or sponsored by Google LLC. Google, Google Maps and Google Business Profile are trademarks of Google LLC.

2.6 Support. Support is provided by email at contact@mapduo.com.

3. Term, Renewal and Cancellation

3.1 Initial Term. Each Subscription starts on the date of your order and runs for an initial term of six (6) months (“Initial Term”). Fees are billed monthly, but you commit to the full Initial Term.

3.2 Automatic renewal. At the end of the Initial Term, your Subscription automatically renews for successive periods of six (6) months each (each a “Renewal Term”; the Initial Term and each Renewal Term are each a “Term”), unless cancelled under Section 3.3. Renewal Terms are also billed monthly.

3.3 Cancellation. To stop your Subscription from renewing, you must notify us by email at contact@mapduo.com at least thirty (30) days before the end of the current Term. Cancellation takes effect at the end of that Term. A cancellation received less than thirty (30) days before the end of the current Term takes effect at the end of the following Renewal Term.

3.4 Early termination. If you cancel, stop using the Services, or if your Subscription is terminated because of your breach before the end of the current Term, all monthly Fees remaining for the rest of that Term become immediately due and payable. Stopping the recurring payment does not release you from this obligation.

4. Fees and Payment

4.1 Fees. The fees for each Subscription are those displayed on our website or at checkout when you place your order (“Fees”). Fees are stated in US dollars and exclude taxes.

4.2 Paddle, our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your payment is also subject to Paddle’s buyer terms, available at https://paddle.com/legal-buyers.

4.3 Taxes. Applicable sales tax, VAT or similar taxes are calculated and collected by Paddle at checkout.

4.4 Billing. You authorize the monthly charge of the Fees to your payment method, on the same day of each month as your order date, for as long as your Subscription is active.

4.5 Promotional pricing. If you subscribe at a promotional or introductory price shown against a higher standard price, the promotional price applies for the duration indicated at checkout. If no duration is indicated, it applies until we change it under Section 4.6.

4.6 Price changes. We may change our Fees by giving you at least thirty (30) days’ notice by email. The new Fees apply from the start of your next Renewal Term. If you do not accept the change, you may cancel by notifying us before the new Fees take effect, even if the cancellation deadline in Section 3.3 has passed. Your Subscription will then end at the end of the current Term.

4.7 No refunds. Except where required by applicable law or granted under Paddle’s Refund Policy, all Fees are non-refundable, including for partial months, unused Services, or results that did not meet your expectations. Our Refund Policy gives more details.

4.8 Non-payment. If a payment fails or is not received when due, we may immediately suspend your access to the Services and stop the Managed Services, without prior notice, until all amounts due are paid. Fees for the current Term remain due during any suspension.

4.9 Payment disputes. Please contact us at contact@mapduo.com before disputing a charge with your bank. Disputing a valid charge does not release you from paying the Fees due under these Terms, and we may suspend your account while the dispute is pending.

5. Your Business Profile, AI Features and Results

5.1 Access to your Business Profile. To receive the Managed Services, you must add MapDuo as a manager of your Business Profile or grant us the access we request. You remain the owner of your Business Profile at all times. You may remove our access at any time. Doing so may prevent us from performing the Managed Services, but it does not end your Subscription or your payment obligations.

5.2 Your responsibilities. You represent that you own or are authorized to manage each Business Profile you entrust to us, and that the information you provide about your business is accurate, lawful and up to date. You must comply with Google’s terms and policies applicable to Business Profiles, and promptly inform us of any change affecting your business, such as your address, opening hours or services.

5.3 Actions we take. As part of the Managed Services, we may edit the information, categories, descriptions, photos, posts and other elements of your Business Profile, and reply to reviews according to your settings. You authorize us to perform these actions on your behalf. If you disagree with a change, tell us and we will adjust or revert it where possible.

5.4 AI Features. The AI Features use third-party AI models to generate content and analyses, such as review replies, posts and AI visibility audits. In your settings, you choose whether AI-generated content is (a) submitted to you for approval before publication, or (b) published automatically. AI-generated content may be inaccurate, incomplete or inappropriate. If you choose automatic publication, you accept that content is published without your prior approval, and you remain responsible for the content published on your Business Profile. You may change this setting, and edit or delete published content, at any time.

5.5 AI visibility audits. AI visibility audits reflect the answers given by AI assistants (such as ChatGPT or Gemini) at the time of the audit. These answers vary over time, by user and by query. Audit results are provided for information only.

5.6 No guarantee of results. Rankings, visibility in Google Maps and in AI assistants, and the number of reviews, calls or customers depend on factors outside our control, including Google’s algorithms and policies, competition and your own business. We perform the Services with reasonable care and skill, but we do not guarantee any particular ranking or position (including a “top 3” position), traffic, number of calls, reviews or revenue, or any timeframe for results. Statements on our website or in our communications about expected or past results describe objectives or past experience and are not guarantees.

5.7 Actions by Google. Google may at any time suspend, restrict, modify or remove a Business Profile, reviews or content, or change its algorithms or policies. We are not responsible for these actions. They do not entitle you to a refund or to early termination, unless they result from our breach of these Terms.

6. Acceptable Use and Free Tools

6.1 Acceptable use. You must not use the Services to:

6.2 Free audit. The free audit available at https://mapduo.com/free-audit is provided free of charge and for information only, based on the data available when it is run. It creates no obligation to subscribe. It is provided “as is”, without any warranty.

6.3 WordPress plugin. The free MapDuo WordPress plugin displays Google reviews and visibility diagnostics on your website. It is provided free of charge and “as is”, without any warranty or support commitment. The plugin software is licensed under the license stated in its files; these Terms govern your use of the MapDuo services the plugin connects to. You are responsible for your website, for its compliance with applicable law, and for keeping the plugin up to date. We may modify, suspend or discontinue the plugin or its connected services at any time.

6.4 Third-party data. The Free Tools rely on data from Google and other third parties, which may be incomplete, delayed or inaccurate. Reviews displayed by the plugin are refreshed periodically and may not include the most recent reviews.

7. Intellectual Property, Content and Data

7.1 Our property. The Services, including the Platform, software, methods, designs, texts and trademarks, belong to MapDuo or its licensors. Subject to these Terms and to payment of the Fees, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right to use the Platform for your internal business purposes during your Subscription.

7.2 Your content. You keep all rights in your Customer Content. You grant MapDuo a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt, publish and display Customer Content as needed to provide, maintain and improve the Services, including by sharing it with our service providers. You represent that you have all the rights needed to grant this license.

7.3 Content we create for you. You may use without restriction the content we create specifically for your Business Profile as part of the Services, such as posts, descriptions and review replies. Once published on your Business Profile, it remains in place and is yours to keep after your Subscription ends.

7.4 Aggregated data. We may use aggregated and de-identified data derived from the use of the Services, which does not identify you or any individual, to operate, analyze and improve the Services.

7.5 Feedback. If you send us suggestions or feedback, we may use them freely, without any obligation to you.

7.6 Confidentiality. Each party will keep confidential the non-public information received from the other party in connection with the Services, and use it only to perform these Terms. This obligation does not apply to information that is public, already known to the receiving party, independently developed, lawfully received from a third party, or required to be disclosed by law.

7.7 Personal data. Our Privacy Policy explains how we process personal data. When we process personal data on your behalf to provide the Services (for example, the names of reviewers on your Business Profile), we process it only to provide the Services, in accordance with these Terms and with appropriate security measures. You are responsible for having a lawful basis for any personal data you provide to us.

8. Suspension and Termination

8.1 Suspension. We may suspend all or part of the Services: (a) immediately, if you fail to pay any amount when due; or (b) with notice where reasonably possible, if you breach Section 6, if your use creates a security risk or may expose us, Google or third parties to liability, or if we are required to do so by law or by Google.

8.2 Termination for breach. Either party may terminate a Subscription by written notice if the other party materially breaches these Terms and does not cure the breach within fifteen (15) days of receiving notice. We may terminate immediately in case of a serious breach of Section 6. If we terminate for your breach, Section 3.4 applies. If you terminate for our uncured material breach, you owe no Fees for the period after termination.

8.3 Effects of termination. When a Subscription ends: (a) your access to the Platform for that Location ends; (b) we stop performing any action on your Business Profile; (c) the changes and content published on your Business Profile during the Subscription remain in place; and (d) you may remove MapDuo’s manager access at any time, and we will remove our access upon your written request.

8.4 Data after termination. We keep your account data for ninety (90) days after your Subscription ends. During that period, you may ask us for a copy. We then delete it, except for data we must keep to comply with legal, accounting or tax obligations, or to establish or defend legal claims.

8.5 Survival. Provisions that by their nature should survive termination will survive, including Sections 3.4, 4, 7, 9 and 10.

9. Warranties, Liability and Indemnification

9.1 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND THE FREE TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. MAPDUO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR ACHIEVE ANY PARTICULAR RESULT.

9.2 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPDUO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CUSTOMERS, GOODWILL, DATA, RANKING OR VISIBILITY, OR FOR THE SUSPENSION OF A BUSINESS PROFILE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPDUO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID FOR THE AFFECTED SUBSCRIPTION DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. FOR THE FREE TOOLS, MAPDUO’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).

9.4 Exceptions. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, willful misconduct or gross negligence.

9.5 Indemnification. You will defend, indemnify and hold harmless MapDuo, its managers, employees and service providers from any third-party claims, damages, fines, losses and costs (including reasonable attorneys’ fees) arising from: (a) your Customer Content or the information you provide about your business; (b) content published on your Business Profile that you approved or chose to publish automatically; (c) your breach of these Terms or of Google’s policies; or (d) your violation of any law or third-party right.

10. Governing Law and General Provisions

10.1 Governing law. These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the Principality of Monaco, without regard to its conflict of laws rules.

10.2 Jurisdiction. Before starting any proceedings, each party will try in good faith to settle the dispute amicably for thirty (30) days after written notice from the other party. Failing that, the courts of the Principality of Monaco will have exclusive jurisdiction.

10.3 Changes to these Terms. We may update these Terms. We will notify you of material changes by email or in the Platform at least thirty (30) days before they take effect. If you do not accept them, you may cancel your Subscription before they take effect, and the current Terms will continue to apply until the end of your current Term. Otherwise, the updated Terms apply from their effective date.

10.4 Notices. We send notices to the email address associated with your account. You send notices to contact@mapduo.com. Notices sent by email are deemed received on the next business day.

10.5 Electronic acceptance. You agree to receive communications from us electronically, and you agree that checking the acceptance box constitutes your electronic signature of these Terms.

10.6 Force majeure. Neither party is liable for any delay or failure caused by events beyond its reasonable control, including outages or changes of Google or other third-party services, internet failures, natural disasters or government actions. This does not excuse payment obligations.

10.7 Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition or sale of assets.

10.8 Sanctions. You represent that you are not located in, or owned or controlled by persons located in, a country or on a list subject to US, EU or UN sanctions.

10.9 Entire agreement. These Terms, together with your order confirmed at checkout and our Privacy Policy and Refund Policy, are the entire agreement between you and MapDuo regarding the Services. If any provision is held unenforceable, the other provisions remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors.

10.10 Language. These Terms are written in English. Any translation is provided for convenience only, and the English version prevails.
